YOGAMIX ORLANDO, LLC ASSUMPTION OF RISK, RELEASE, LICENSE AND INDEMNITY AGREEMENT

In consideration of being allowed to participate in one or more classes provided by Yogamix Orlando, LLC and other good and valuable consideration, the undersigned “Releasor,” agrees as follows:

1. The word “Releasees,” as used in this Agreementshall be defined as follows: Gina Marie Bernadini, Yogamix Orlando, LLC and its instructors, employees, members, managing members, officers, directors, shareholders, agents, representatives, promoters, sponsors, volunteers, affiliates, subsidiaries, independent contractors, successors and assigns.

2. That the “Releasor” acknowledgesthat he/she/theyhasinvestigated and evaluated the risks associated with Yogamix Orlando, LLC’s classes and related activities and represents that he/she/they is in good health and does not have any health or physical impairments or conditions, including but not limited to back and neck problems, heart conditions, seizures, or mental impairments such as anxiety or phobias that would or should prevent Releasor from participating in physical exercise classes conducted by an instructor provided by Yogamix Orlando, LLC. Releasor understands that there are inherent risks involved in participating in physical exercise classes which could result in scrapes, cuts, bruises, or fainting and/or more serious injuries or illnesses or death including but not limited to heart failure, heart attack, abnormal blood pressure, and organ, spinal cord, ligament, disc, muscle, bone and head injuries. “RELEASOR” EXPRESSLY AGREES TO FREELY, VOLUNTARILY AND EXPRESSLY ASSUMEALLRISKS,KNOWNAND UNKNOWN, OF BODILY INJURY, INCLUDING DEATH, INCURRED BY “RELEASOR” RESULTING FROM OR ARISING OUT OF OR IN ANY WAY RELATING TO MY PARTICIPATION IN PHYSICAL EXERCISE CLASSES CONDUCTED BY AN INSTRUCTOR PROVIDED BY YOGAMIX ORLANDO, LLC.

3. THAT THE “RELEASOR” HEREBY RELEASES ANY AND ALL “RELEASEES” FROM ANY AND ALL LIABILITY, CLAIMS, ACTIONS, CAUSES OF ACTION, DEMANDS, SUITS (IN EQUITY OR AT LAW) OF WHATSOEVER KIND OR NATURE FOR ANY LOSS, DAMAGE, BODILY INJURY, INCLUDING DEATH, INCURRED BY THE “RELEASOR” RESULTING FROM OR ARISING OUT OF OR IN ANY WAY RELATING TO MY PARTICIPATION IN ANY CLASSES CONDUCTED BY AN INSTRUCTOR PROVIDED BY YOGAMIX ORLANDO, LLC AND/OR ANY RELATED ACTIVITIES, WHETHER CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE OF ANY OF THE “RELEASEES” OR OTHERWISE.

4. “Releasor” further grants “Releasees” the permission and right to photograph and/or videotape and/or broadcast “Releasor’s” participation in Yogamix Orlando, LLC classes and related activities and further to use, displayand/or otherwise exploit “Releasor’s” face, likeness, voice, and appearance forever, and throughout the world in perpetuity, including without limitation, in webcasts, YouTube, television, cable television, websites, motion pictures, films, newspapers, and magazines, and any internet transmission whatsoever.

5. That the “Releasor” has carefully read and understands this Agreement, agrees to the terms of this Agreement, and acknowledges and represents that he/she/theyis at least 18 years of age, and has authority to execute this Agreement and signs it voluntarily.

6. That any ambiguities in this Agreement shall be construed in favor of the “Releasees”. PLEASE READ CAREFULLY BEFORE SIGNING
